How this cap table estimate works
The financing price is pre-money valuation ÷ fully diluted pre-financing shares. New investor shares equal investment divided by that price. Each post-round ownership percentage equals the holder's shares divided by total post-round shares.
The option-pool top-up is treated as newly reserved shares added before the financing. This simplified model excludes security classes, SAFEs, convertible notes, warrants, liquidation preferences and contract-specific adjustments. Use signed financing documents and professional advice for an actual transaction.
