How the option pool top-up is calculated
The model treats the current fully diluted share count as including the existing unallocated pool. It solves for the extra pre-money pool shares required for the pool to equal your target percentage after the investor’s shares are issued.
Post-money shares = issued shares + final option pool + investor shares. If the existing pool already exceeds the target, no top-up is added. Actual term sheets may define capitalization, warrants, convertibles and pool timing differently, so use the signed financing documents for final decisions.
